Governance

 

Medway Cyrenians is a charity registered with the Charity Commission (1037970). Medway Cyrenians is also a company limited by guarantee (2897827). The charity is governed by a Memorandum and Articles and our financial accounts are available via the Charity Commission website.

The day to day management of the organisation is the responsibility of the chief Executive Officer, whilst a board of directors oversee the governance and strategic direction of the charity. 
From time to time, Medway Cyrenians Ltd appoints further Directors/Trustees to its board.  The following information has been prepared to provide a general introduction to the charity.

In conjunction with the Chief Executive, the directors set the strategic goals of the Charity and approve, oversee and monitor the business plan. They meet regularly to review how the Charity is meeting the goals that have been set and ensure that correct financial management is being followed in line with Charity Commission requirements. Directors bring different skills, strengths and expertise to the Board and are committed to the values of Medway Cyrenians.

All Directors take on the legal duties and responsibilities of being a company director and charity trustee, which are unpaid, volunteer roles.

We are actively seeking new Board members with professional skills in strategic housing, the law or HR.

Time Commitment

Board meetings are held on the last Tuesday of every other month and generally last around 1.5 hours.
It is usual for all Directors to be present at all meetings. There are currently no sub-committees.
Directors may also be involved in staff recruitment, fund-raising, service user consultation and promotional events at their discretion and availability.

Expenses

All reasonable expenses incurred by Directors in carrying out their duties are paid.
